Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Scorepeo Sports LLC, an Illinois limited liability company doing business as PODPilot ("PODPilot," "we," "us," or "our"), governing your access to and use of mypodpilot.com and the PODPilot application and services (the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind that company, and "you" means that company.

Please read Section 12 carefully. It limits our liability. Section 15 requires most disputes to be resolved by binding individual arbitration and waives your right to a jury trial and to participate in a class action.

1. The Service

PODPilot automates post-delivery paperwork for motor carriers. The Service receives documents you or your drivers submit, classifies and reads them, generates invoices, assembles factoring packets, and transmits those packets by email to the factoring company or broker you designate.

What the Service is not. PODPilot is a software tool. We are not a factoring company, a broker, a freight forwarder, a lender, or a financial services provider. We do not fund, advance, purchase, or pay invoices. We do not guarantee that any factoring company or broker will accept, approve, or fund any packet or invoice. Funding decisions rest entirely with your factoring company or broker under your agreement with them, to which we are not a party.

We do not provide accounting, tax, legal, or regulatory compliance advice.

2. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract. The Service is intended for business use only.

You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us immediately at terms@mypodpilot.com if you suspect unauthorized access.

You may authorize additional users under your account within the limits of your plan. You are responsible for their compliance with these Terms.

3. Free trial

New accounts receive a 14-day free trial. No payment card is required to start the trial.

At the end of the 14-day trial period, we will prompt you to establish payment. You will be asked to select a plan and provide payment details before the trial expires.

If you provide payment details, your account converts to a paid subscription and the first charge occurs on the day the trial expires.

If you do not provide payment details, your account is suspended when the trial expires. Nothing is charged. Your data is retained and your account is not deleted, but the Service stops receiving documents, assembling packets, and transmitting to your factor until you select a plan and provide payment details.

We will notify you by email before your trial expires.

Trials are limited to one per company. We reserve the right to determine trial eligibility and to withdraw or modify trial terms at any time.

During the trial you have access to the full functionality of your selected plan. Packets transmitted during the trial are real transmissions to the real recipients you configure, not simulations. You are responsible for what the Service sends on your behalf during the trial exactly as you are after it.

4. Plans, fees, and promotional pricing

4.1 Plans

Plans are priced per month and limited by number of trucks and monthly load volume. Current plans, standard prices, and limits are published on our pricing page and are incorporated into these Terms.

4.2 Launch promotional pricing

We currently offer promotional pricing of 50% off the standard monthly price for the first six (6) months of a paid subscription.

At the end of the sixth billing month, your subscription automatically renews at the standard monthly price for your plan. The standard prices are:

The promotional price applies to the first six billing months of your paid subscription only. It does not renew, does not extend if you change plans, and is not transferable. If you upgrade or downgrade during the promotional period, the promotional discount applies to the new plan for the remainder of the original six-month period only.

We will send you notice by email before your subscription renews at the standard price.

4.3 Billing

Subscriptions bill monthly in advance on the anniversary of your subscription start date, and renew automatically until cancelled. Payment is processed by Stripe, Inc. By providing payment details you authorize us to charge the applicable fees, including the standard price after the promotional period ends, to your payment method.

Fees are stated in U.S. dollars and are exclusive of taxes. You are responsible for any applicable sales, use, or similar taxes.

4.4 Failed payments

If a payment fails, we will attempt to charge your payment method again and will notify you. If payment is not received within fourteen (14) days of the first failed attempt, we may suspend your account. Suspension does not delete your data. Repeated failure may result in termination under Section 10.

4.5 Plan limits

If your usage exceeds your plan's truck count or monthly load volume, we will notify you and may require an upgrade to continue service at full functionality.

4.6 Price changes

We may change standard prices. We will give at least thirty (30) days' notice by email before a price change takes effect for your subscription. Continued use after the effective date constitutes acceptance. If you do not accept, you may cancel before the change takes effect.

4.7 Cancellation and refunds

You may cancel at any time from your billing settings or by emailing terms@mypodpilot.com. Cancellation takes effect at the end of your current billing period. You retain access until then.

Fees already paid are non-refundable except where required by law, and we do not provide partial refunds or credits for partial billing periods, unused capacity, or periods during which you did not use the Service.

5. Your data and content

You retain all rights in the documents, data, and content you submit ("Customer Data"). We claim no ownership of it.

You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, reproduce, and display Customer Data solely to provide, maintain, secure, and improve the Service for you, and to transmit packets to the recipients you designate. This licence ends when you delete the data or close your account, subject to the retention terms in our Privacy Policy.

We do not use Customer Data to train artificial intelligence models, and our vendors are contractually prohibited from doing so.

5.1 Your representations about Customer Data

You represent and warrant that:

• You own or have the necessary rights and permissions to submit all Customer Data
• You have the legal right to share information about drivers, brokers, shippers, consignees, and other individuals appearing in your documents
• Customer Data does not infringe any third party's rights and does not violate any law
• You have informed your drivers that documents they submit are processed by PODPilot on your behalf

5.2 Accuracy and your obligation to review

The Service uses automated classification and extraction. It is not error-free. Documents may be misclassified, data may be extracted incorrectly, and packets may be assembled or transmitted with errors.

You are solely responsible for reviewing the accuracy and completeness of invoices and packets generated by the Service, and for the consequences of what is transmitted on your behalf. The Service provides an exception and review workflow for this purpose. Using automated submission without review is your choice and your risk.

You are responsible for the accuracy of every recipient email address you configure. We transmit to the address you provide.

6. Acceptable use

You will not:

• Use the Service for any unlawful purpose or to submit fraudulent, forged, or altered documents
• Submit any document you are not authorized to submit
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Resell, sublicense, or provide the Service to third parties as a service bureau without our written consent
• Use the Service to transmit malware or to interfere with its operation
• Exceed your plan limits by creating multiple accounts to circumvent them
• Use automated means to scrape or extract data from the Service beyond features we provide

We may suspend or terminate access for violations of this section, with or without notice depending on severity.

7. Third-party services

The Service depends on third parties including WhatsApp, factoring companies' email systems, payment processors, and cloud infrastructure providers. We are not responsible for the availability, performance, policies, or acts of those third parties.

In particular: once a packet is transmitted to the address you designate, delivery, receipt, acceptance, processing, and funding are outside our control and are governed by your agreement with that recipient.

Your relationship with your factoring company or broker is entirely between you and them.

8. Intellectual property

The Service, including its software, design, text, graphics, and trademarks, is owned by PODPilot and protected by intellectual property law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription.

You may not use our name, logo, or trademarks without our prior written consent.

If you provide feedback or suggestions, you grant us an unrestricted right to use them without obligation or compensation to you.

9. Service availability and changes

We aim to keep the Service available but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, third-party failures, or circumstances beyond our control.

We do not offer a service level agreement or uptime guarantee under these Terms.

We may modify, add, or remove features. If we materially reduce core functionality, we will give reasonable notice.

10. Suspension and termination

By you. Cancel at any time under Section 4.7.

By us. We may suspend or terminate your account if you materially breach these Terms, fail to pay, use the Service unlawfully, or create risk or legal exposure for us. Where practical we will give notice and an opportunity to cure.

Effect of termination. Your right to use the Service ends immediately. You may request an export of your Customer Data within thirty (30) days of termination, after which we may delete it in accordance with our Privacy Policy. Sections 5, 8, 11, 12, 13, 14, and 15 survive termination.

11. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DOCUMENTS WILL BE CLASSIFIED OR READ ACCURATELY; THAT PACKETS WILL BE ACCEPTED OR FUNDED BY ANY RECIPIENT; OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PODPILOT AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS ARISING FROM: A PACKET REJECTED, DELAYED, OR NOT FUNDED BY A FACTORING COMPANY OR BROKER; AN INVOICE GENERATED WITH INCORRECT INFORMATION; A DOCUMENT MISCLASSIFIED OR OMITTED; A PACKET TRANSMITTED TO AN INCORRECT ADDRESS YOU CONFIGURED; OR ANY DELAY IN PAYMENT FROM ANY SOURCE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some may not apply to you.

13. Indemnification

You will defend, indemnify, and hold harmless PODPilot and its officers, members, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: your Customer Data; your use of the Service; your breach of these Terms; your violation of any law or third-party right; or any dispute between you and a factoring company, broker, shipper, driver, or other third party.

14. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Subject to Section 15, the state and federal courts located in Cook County, Illinois have exclusive jurisdiction, and you consent to their jurisdiction and venue.

15. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before filing any claim, you agree to contact us at terms@mypodpilot.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Cook County, Illinois, or by videoconference. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. YOU AND PODPILOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

Jury trial waiver. YOU AND PODPILOT WAIVE ANY RIGHT TO A JURY TRIAL.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.

Opt out. You may opt out of this arbitration agreement by emailing terms@mypodpilot.com within thirty (30) days of first accepting these Terms, stating your name, company, and intent to opt out. Opting out does not affect any other provision.

16. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and PODPilot regarding the Service and supersede any prior agreements.

Changes. We may modify these Terms. We will give at least thirty (30) days' notice by email or in-app before material changes take effect. Continued use after the effective date constitutes acceptance. If you do not accept, cancel before the effective date.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Severability. If any provision is held unenforceable, the remainder stays in effect and the unenforceable provision is modified to the minimum extent necessary.

No waiver. Our failure to enforce any provision is not a waiver of it.

Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control.

Notices. We may give notice by email to the address on your account or by posting in the Service. Send notices to us at terms@mypodpilot.com or to the mailing address below.
